Our Team will be happy to bring into the fold an experienced Legal Counsel!
4 YEARS OF EXPERIENCE
FULL TIME
LIMASSOL / REMOTE
This is a stand-alone role with a broad mandate: you will be the single person holding the group’s corporate perimeter together. You will work directly with senior management, Finance, shareholders and external providers.
The role combines two layers of work. The first is corporate governance: preparing resolutions, keeping registers and the corporate calendar current, instructing providers and following each matter through to signature and filing. This is detailed, high-volume hands-on work. The second layer is project work: financing rounds, shareholder loans, the ESOP, non-compete arrangements, group restructurings and separation projects, and that is where the seniority of the role sits. We are looking for someone who is comfortable with both and who treats the first as the foundation of the second rather than as overhead.
Responsibilities:
Advise on corporate law matters and manage day-to-day corporate governance of the Company and relevant group entities.
Maintain the corporate calendar: board and shareholder decisions, resolutions, powers of attorney, director/officer changes and statutory filings.
Ensure the completeness and timely update of constitutional documents, registers, certificates and ownership/UBO records.
Supervise fiduciary providers, company secretaries and external counsel: set clear instructions, review deliverables, monitor deadlines, quality and budgets.
Own the recurring corporate workflow end to end.
Maintain the cap table and share capital records: share issues and transfers, option exercises, changes in ownership percentages, and consistency between the cap table, the corporate registers and the Registrar.
Support the corporate side of M&A, restructurings and investments: due diligence, corporate approvals, conditions precedent and closing deliverables.
Engage directly with shareholders and directors: communicate clearly what is required from them and by when, collect decisions, signatures and documents, manage the correspondence and drive matters to completion without management having to chase.
Handle shareholder loans and financing transactions: loan and subscription documentation, intragroup funding, corporate approvals, terms, repayment or capitalisation, and coordination with Finance, Tax and auditors.
Coordinate KYC/AML and due diligence procedures for shareholders, directors and UBOs in response to requests from banks, payment providers, auditors and counterparties.
Assess sanctions-related legal risks under applicable regimes: screening, ownership/control analysis, documenting conclusions, escalating potential matches and high-risk cases.
Support KYC/AML and counterparty onboarding processes.
Draft and negotiate non-compete and non-solicitation agreements (NCAs/NSAs) with shareholders, founders and key employees, and assess their enforceability in the relevant jurisdictions.
Run intercompany governance arrangements and documentation with affiliates.
Provide written and verbal legal advice in an “options - residual risk - recommendation” format.
About you:
You are confident with a commercial sense, pragmatic and solutions oriented;
You are interested in and ready to actively participate in development of company’s products through optimizing, improving and simplifying cooperation between departments and teams;
You are able to collaborate positively, respectfully and effectively with each seniority level;
You are passionate about sharing experience with junior team members and colleagues from different expertise;
You have a keen interest in football business, including knowledge of championships, leagues, clubs, players, seasons, transfers and the latest football and video gaming trends.
It would be great if you can also:
Build out corporate compliance tooling: policies, templates, decision trees, checklists, registers, screening and escalation workflows.
Take ownership of monitoring legal and regulatory developments and translating them into practical changes to Company processes.
Bring hands-on experience with Cyprus employment law (employment, termination, ERGANI).
Requirements:
Bachelor’s (or similar) degree in Law.
4–7+ years of relevant experience in a law firm and/or in-house legal function, with substantial corporate law and corporate governance exposure.
Hands-on experience supporting Cyprus legal entities is required; experience with entities in other jurisdictions and a working understanding of cross-border group structures.
Practical experience coordinating corporate secretarial / fiduciary providers and external counsel.
Hands-on experience with English law and EU regulations.
Comfortable carrying a high volume of operational and recurring tasks in parallel with project work.
Fluent Russian and English, including legal English for drafting and working with international counsel.
Considered an advantage:
Experience in an international technology, gaming, digital or fintech business.
Experience with the Cyprus Registrar of Companies.
Experience supporting M&A, restructurings or other corporate transactions, including corporate approvals and closing documentation.
Working understanding of tax matters and transfer pricing in a cross-border group context.
